BAB PropTech Platform

1. Acceptance of Terms
The Platform is operated by BAB PROPTECH LLC, an Illinois limited liability company with its principal place of business at 2648 N Merrimac Ave, Chicago, IL 60639, USA ("BAB," "we," or "our"). By registering for or using BAB ("the Platform"), you agree to be bound by these Terms of Service ("Terms"), which form an agreement between you and BAB PROPTECH LLC. If you do not agree, you must not use the Platform.
2. Eligibility
The Platform is available to:
- Property Owners registered with the compound's Owners' Union under Egyptian Law No. 119/2008
- Tenants authorized by a registered property owner
- Community Staff including guards, maintenance workers, and management personnel
- Authorized Visitors with a valid, unexpired visitor pass
3. License Plate Recognition (LPR) and Vehicle Data
3.1 LPR Consent
By registering your vehicle within the Platform, you explicitly consent to the capture of your vehicle's license plate at compound entry and exit gates for the purpose of automated gate access control and security logging.
3.2 Scope of LPR Use
LPR data is used exclusively for:
- Authorizing gate entry and exit
- Recording vehicle movement logs for security purposes
- Alerting security personnel of unregistered vehicles
3.3 Your Obligations
- You must ensure all vehicle plates registered in the Platform are accurate and current
- You must update or remove vehicle records if ownership or usage changes
- Providing false vehicle information may result in immediate access revocation
4. Community Governance (Egyptian Law No. 119/2008)
The Platform implements the Owners' Union governance framework as required by Egyptian Law No. 119/2008:
4.1 Board Elections (Articles 18–20)
- Board elections are conducted with votes weighted by ownership percentage
- Boards consist of 5–7 members serving 3-year terms
- All elections are recorded within the Platform with full audit trails
4.2 General Assembly Voting (Article 21)
- Votes on resolutions are weighted by ownership shares
- Quorum for regular decisions: 50%+1 of ownership shares
- Quorum for major decisions: 75% of ownership shares
4.3 Financial Obligations (Articles 23–26)
- Owners are obligated to contribute to the maintenance fund as determined by the General Assembly
- Non-payment may result in restricted access and legal proceedings under applicable Egyptian law
- All financial records are maintained for a minimum of 7 years
5. Visitor and Security Passes
- Visitor passes are issued at the discretion of the registered host
- Each visitor pass has a defined validity period and entry limit
- Misuse of visitor passes may result in termination of the host's registration privileges
- BAB reserves the right to revoke any pass for security reasons
6. User Obligations
You agree to:
- Provide accurate and truthful information during registration
- Maintain the confidentiality of your account credentials
- Not share your account with any other person
- Report unauthorized use of your account immediately
- Comply with the compound's internal regulations and Egyptian law
- Not use the Platform to harass, threaten, or harm other residents or staff
7. Intellectual Property
The Platform, its code, design, and content (excluding user-generated content) are the property of BAB PROPTECH LLC and are protected under applicable intellectual property laws.
8. Limitation of Liability
To the maximum extent permitted by applicable law, BAB is not liable for:
- Loss or damage arising from unauthorized access to your account if such access is due to your failure to secure your credentials
- Service interruptions caused by Force Majeure events
- Third-party service failures (including Firebase platform outages)
9. Termination
Your access to the Platform may be terminated by BAB if:
- You violate these Terms of Service
- Your property ownership or tenancy relationship with the compound ends
- You engage in conduct that endangers compound security or community well-being
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois. The community-governance provisions of Section 4 (Egyptian Law No. 119/2008) apply to communities located in Egypt, per the community's jurisdiction profile; nothing in these Terms limits mandatory protections afforded to you under the laws of the jurisdiction where your community is located.
11. Changes to These Terms
We will notify you of material changes to these Terms through an in-app notification at least 14 days before they take effect. Continued use of the Platform constitutes acceptance of the revised Terms.
